### Work for hire vs. assignment
- Work for hire — US copyright term; applies automatically to certain categories (collective works, motion pictures, some commissioned works)
- Assignment — everything else needs explicit IP assignment clause
Best practice: both clauses in the ICA to cover all cases.
### Moral rights Some jurisdictions (EU, Australia) give creators "moral rights" to attribution and integrity. These may not be fully waivable. Include moral rights waiver to extent permitted by law.
### Sub-contracting Specify whether contractor can subcontract. Often "no subcontracting without prior written consent."
### Exclusivity Can the contractor work for your competitors? Usually no restriction (distinguishes from employment), but you may restrict during engagement.
